Commercial contracts

Sale-purchase agreements

Drafting and review of sale-purchase agreements for movable and immovable property, with management of warranties for defects and non-conformity, conditions precedent and penalty clauses for breach of contract.

Lease agreements

Residential leases — free-market, agreed-rent, transitional — under Law 431/1998, and commercial leases governed by Law 392/1978. Assistance also in eviction proceedings and actions for rent arrears.

Supply contracts

Assistance in defining recurring supply conditions, Service Level Agreements, penalties for delays or non-conformity, price-revision clauses and hardship scenarios.

Corporate contracts

Drafting of shareholders' agreements, share transfers, investment agreements. Management of lock-up, pre-emption, approval, tag-along and drag-along clauses.

General terms and unfair clauses

Preparation of general terms and conditions compliant with the formal requirements set out in art. 1341 of the Italian Civil Code, with proper handling of the double signature for unfair clauses. Compliance analysis with the Consumer Code in B2C relationships.

Online contracts and e-commerce

Drafting of online sales terms, terms of service and notices compliant with the Consumer Code and Legislative Decree 70/2003 on electronic commerce. Particular attention to the right of withdrawal and pre-contractual information obligations.

Self-employment contracts

Drafting of professional service contracts, consultancy engagements and coordinated collaborations, with attention to the correct qualification of the relationship and to preventing risks of reclassification as subordinate employment.
